Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and InfinityDesk Inc. ("InfinityDesk," "we," "us," or "our") concerning your access to and use of the InfinityDesk platform and services.

By accessing or using InfinityDesk, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

Services Description

InfinityDesk provides a comprehensive customer management platform that includes:

• Ticketing System: Customer support ticket management and tracking
• 3CX Integration: VoIP telephony integration for call management and recording
• WhatsApp Business API: WhatsApp message management and automation
• Customer Database: Centralized customer information management
• Analytics & Reporting: Performance metrics and insights
• Team Collaboration: Multi-agent workflows and internal communication
• API Access: Integration capabilities with third-party systems

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to active subscribers.

User Accounts

Account Registration

To use InfinityDesk, you must:

• Be at least 18 years old and capable of forming a binding contract
• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Accept responsibility for all activities under your account
• Not use the service on behalf of a third party without authorization

Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access or security breach
• Ensuring your team members comply with these Terms

Acceptable Use Policy

You agree NOT to use InfinityDesk for any of the following purposes:

Prohibited Activities

• Violating any laws, regulations, or third-party rights
• Sending spam, unsolicited messages, or engaging in phishing
• Distributing malware, viruses, or harmful code
• Attempting to gain unauthorized access to our systems or other accounts
• Interfering with or disrupting our services or servers
• Impersonating any person or entity
• Collecting or harvesting user data without consent
• Engaging in fraudulent or deceptive practices
• Using the service for any illegal telemarketing activities
• Abusing, harassing, or threatening others

Content Restrictions

You may not transmit content that:

• Infringes intellectual property rights
• Contains hate speech, discrimination, or promotes violence
• Includes explicit sexual content or exploitation of minors
• Violates privacy rights or data protection laws

Subscription & Billing

Subscription Plans

InfinityDesk offers various subscription tiers with different features and usage limits. Current pricing and plan details are available on our website.

Billing Terms

• Payment: Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan.
• Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled prior to renewal.
• Price Changes: We may change subscription prices with 30 days' notice. Changes apply to subsequent billing periods.
• Payment Methods: We accept major credit cards, debit cards, and other payment methods as indicated at checkout.
• Failed Payments: If payment fails, we may suspend your account until payment is received. Services may be terminated after 15 days of non-payment.
• Taxes: All fees are exclusive of taxes. You are responsible for all applicable taxes, duties, and government charges.

Refund Policy

• Free Trial: Cancel during the trial period for no charge
• Monthly Plans: No refunds for partial months
• Annual Plans: Pro-rated refunds available within 30 days of initial purchase only
• Usage-Based Charges: Non-refundable (call minutes, message credits, etc.)

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to services until that date.

Your Data & Content

Ownership

You retain all rights, title, and interest in your data and content ("Customer Data") that you upload, transmit, or create through InfinityDesk. This includes customer information, tickets, call recordings, messages, and any other content.

License to InfinityDesk

You grant us a limited license to access, store, process, and transmit Customer Data solely to provide and improve our services. This license terminates when you delete your data or close your account.

Your Responsibilities

• You are solely responsible for the accuracy and legality of Customer Data
• You must have all necessary rights and consents to use Customer Data
• You are responsible for compliance with applicable privacy laws (GDPR, CCPA, etc.)
• You must obtain consent for call recordings where legally required
• You are responsible for backing up your data

Data Processing

InfinityDesk acts as a data processor on your behalf. We process Customer Data according to your instructions and in compliance with our Data Processing Agreement (DPA) and Privacy Policy.

Intellectual Property Rights

InfinityDesk Property

The InfinityDesk platform, including all software, designs, text, graphics, logos, APIs, and other materials (excluding Customer Data), are owned by InfinityDesk and protected by intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use InfinityDesk for your internal business purposes in accordance with these Terms.

Restrictions

You may not:

• Copy, modify, or create derivative works of our platform
• Reverse engineer, decompile, or disassemble our software
• Remove or alter any proprietary notices
• Use our trademarks without written permission
• Frame or mirror any part of our services
• Build a competing product using our services

Feedback

If you provide feedback, suggestions, or ideas about InfinityDesk, we may use them without any obligation to you.

Warranties & Disclaimers

Service Warranty

We warrant that InfinityDesk will perform substantially in accordance with our documentation during your subscription period. Our sole remedy for breach of this warranty is to use commercially reasonable efforts to correct the issue or, if we cannot, you may terminate and receive a pro-rated refund.

Disclaimer of Warranties

Third-Party Services

Our platform integrates with third-party services (3CX, WhatsApp, payment processors, etc.). We are not responsible for the availability, functionality, or security of these third-party services.

Limitation of Liability

Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless InfinityDesk, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of InfinityDesk services
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your Customer Data or content
• Your negligence or misconduct

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.

Termination

Termination by You

You may terminate your account at any time by canceling your subscription through your account settings. Termination takes effect at the end of your current billing period.

Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms or our Acceptable Use Policy
• Your payment fails and remains unpaid for 15 days
• We are required to do so by law
• You engage in fraudulent or illegal activity
• Your use poses security or operational risks

Effect of Termination

Upon termination:

• Your access to InfinityDesk will be immediately revoked
• All licenses granted to you terminate
• You remain responsible for all fees incurred before termination
• We will retain your data for 30 days for retrieval, then permanently delete it
• Provisions regarding confidentiality, liability, and indemnification survive termination

Dispute Resolution

Informal Resolution

Before filing any formal dispute, you agree to contact us at [email protected] to seek informal resolution. We will attempt to resolve disputes within 30 days.

Arbitration Agreement

Arbitration Rules

• Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules
• Arbitration will take place in San Francisco, CA, or another mutually agreed location
• The arbitrator's decision will be final and binding
• Each party will bear its own costs unless the arbitrator decides otherwise

Class Action Waiver

You and InfinityDesk agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.

General Provisions

Modifications to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or prominent notice on our platform at least 30 days before the effective date. Your continued use after changes take effect constitutes acceptance.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction. Any attempted transfer in violation of this section is void.

Entire Agreement

These Terms, along with our Privacy Policy, Data Processing Agreement, and any order forms, constitute the entire agreement between you and InfinityDesk regarding our services.

Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the other provisions will remain in full effect.

Waiver

Our failure to enforce any right or provision in these Terms does not constitute a waiver of that right or provision.

Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, pandemics, or internet/telecommunications failures.

Export Compliance

You may not use InfinityDesk in violation of any export laws or regulations of the United States or other applicable jurisdictions.

U.S. Government Rights

If you are a U.S. government entity, InfinityDesk is provided as "Commercial Computer Software" and "Commercial Computer Software Documentation" as defined in applicable regulations.
